Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Talk To Your Database. Talk To Your Database will not use or distribute database results generated by users through the Service for any purpose.
You are responsible for your own content and the consequences of posting or publishing it. By posting or publishing content on or through the Service, you represent and warrant that: (i) you have the right to post or publish the content and grant Talk To Your Database the rights granted in these Terms; (ii) the content is accurate and not misleading; and (iii) the use and posting or publishing of the content does not violate these Terms and will not violate any rights of or cause injury to any person or entity.
Talk To Your Database has the right but not the obligation to monitor and edit or remove any content posted or published on the Service.
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.
The Service is provided on an "as is" and "as available" basis. Talk To Your Database makes no representations or warranties of any kind, express or implied, as to the operation of the Service or the information, content, materials, or products included on the Service.
In no event will Talk To Your Database or its affiliates, agents, directors, employees, suppliers, or licensors be liable for any damages whatsoever, including without limitation, direct, indirect, incidental, punitive, and consequential damages, arising out of or in connection with the Service, these Terms, or your use or inability to use the Service, or any other matter relating to the Service. In no event will Talk To Your Database's total liability to you for all damages, losses, and causes of action exceed the amount paid by you, if any, for accessing the Service.
These Terms and your use of the Service shall be governed and construed in accordance with the laws of the State of Minnesota, United States, without giving effect to any principles of conflicts of law.
Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall be conducted in the State of Minnesota, United States.
Confidentiality and Non-Compensation Agreement
1. Feedback Submission: We welcome and encourage you to provide feedback, comments, and suggestions for improvements to the Service ("Feedback"). You may submit Feedback by emailing us, through our website, or by other means of communication.
2. Non-Confidentiality: You agree that all Feedback you give will be considered non-confidential and non-proprietary. Talk To Your Database shall be free to use such information on an unrestricted basis. Any Feedback you provide at this site shall be deemed to be non-confidential. 3. Ownership and Use: By submitting any Feedback, you agree that your disclosure is gratuitous, unsolicited, and without restriction and will not place Talk To Your Database under any fiduciary or other obligation. You further acknowledge that, by acceptance of your submission, Talk To Your Database does not waive any rights to use similar or related ideas previously known to Talk To Your Database, or developed by its employees, or obtained from sources other than you.
4. Non-Compensation: You acknowledge that you are not entitled to any compensation or reimbursement of any kind from Talk To Your Database under any circumstances for submitting Feedback.
5. No Obligation to Use: The decision to use or consider your Feedback lies entirely with Talk To Your Database. There is no obligation for Talk To Your Database to use, publish, or acknowledge the receipt of your Feedback.
These Terms constitute the entire agreement between you and Talk To Your Database regarding the use of the Service. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The failure of Talk To Your Database to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
